Shroud — Terms of Use

1. Acceptance of Terms

By downloading, installing, or using Shroud ("the App"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the App. These terms supplement the Apple Standard End-User License Agreement (EULA). In the event of a conflict, these terms take precedence to the extent permitted.

2. License

TopDogs Oy ("we", "us") grants you a limited, non-exclusive, non-transferable, revocable license to use the App on any Apple device that you own or control, as permitted by the Apple App Store Terms of Service. This license is for personal or internal business use.

3. Description of Service

Shroud is a native macOS application for creating and storing encrypted notes. Notes are encrypted on your Mac with AES-256-GCM, using a key derived from a master password that you choose. The App has no user accounts, sends no analytics or telemetry, and TopDogs Oy operates no servers that receive data from it.

The App makes one category of network request: if you are signed into iCloud and have not disabled backup, it writes an encrypted copy of your vault to your own private CloudKit database in your Apple Account. This payload is ciphertext. Your master password and the encryption key derived from it are never transmitted, so the backup cannot be read by TopDogs Oy, by Apple, or by anyone who does not know your password.

4. Encryption and Data Loss

You are solely responsible for remembering your master password. Shroud uses strong encryption that cannot be bypassed. TopDogs Oy does not have access to your passwords, your encryption key, or your readable notes. If you forget your master password, your notes cannot be recovered by anyone, including us. There is no reset mechanism, no recovery key, and no back door. This is a deliberate design decision.

We strongly recommend that you:

  • Store your master password securely (for example, in a password manager)
  • Export an encrypted vault file periodically and keep it somewhere safe
  • Maintain regular backups of your Mac using Time Machine or a similar solution

5. Distress Password and Intentional Data Destruction

The App offers an optional distress password: a second password that you may set in addition to your master password. This feature is disabled by default and must be deliberately enabled by you.

If a distress password is set and it is entered at the unlock screen, the App will immediately and permanently destroy your notes, the local backup, and the encrypted iCloud copy. No confirmation is requested, no warning is shown, and the destruction cannot be undone or reversed. This is the intended behaviour: the feature exists for situations where you may be compelled to unlock the App, and a confirmation prompt would defeat its purpose.

By enabling a distress password, you acknowledge and accept that:

  • Entering it, whether deliberately, mistakenly, or by anyone with access to your keyboard, will destroy your data irreversibly
  • TopDogs Oy cannot recover data destroyed by this feature, and no backup of it exists on our side because none ever did
  • You are solely responsible for choosing a distress password you will not confuse with your master password, and for any consequences of it being triggered
  • The feature destroys only data created by this App in storage you control; it does not affect other applications, system data, or any other person's data

Nothing in this section is intended to encourage the destruction of evidence or any other unlawful act. You are responsible for ensuring that your use of this feature complies with the laws that apply to you.

6. Acceptable Use

You may use the App only for lawful purposes. You are responsible for the content you store in it. Because the App is designed so that we cannot see your notes, we do not and cannot moderate, review, or take responsibility for what you store.

7. No Warranty of Security

While Shroud employs industry-standard AES-256 encryption, no security measure is absolute. We do not guarantee that the encryption cannot be compromised under all circumstances. The App should not be used as the sole safeguard for highly sensitive information where a breach could cause severe harm.

8. Privacy

Your privacy is important to us. Please review our Privacy Policy, which describes what data the App handles and how it is stored. In summary: we collect nothing, we run no servers, and the only copy of your data that leaves your Mac is encrypted, goes to your own Apple Account, and cannot be read by us.

9. Intellectual Property

The App, including its code, design, graphics, and documentation, is the intellectual property of TopDogs Oy and is protected by copyright and other applicable laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works based on the App, except as expressly permitted by applicable law.

10. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the App is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components.

Your notes are stored locally and encrypted on your device. You are responsible for maintaining backups of your data. We are not liable for any data loss, including loss resulting from a forgotten master password, from the distress password being entered, or from the auto-wipe setting being triggered by failed unlock attempts.

11. Limitation of Liability

To the maximum extent permitted by applicable law, TopDogs Oy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising from your use of the App. This includes, without limitation, any liability for data loss resulting from forgotten passwords, use of the distress password, the auto-wipe setting, device failure, or software issues.

Our total liability for any claim arising from or related to the App shall not exceed the amount you paid for the App.

12. Termination

This license is effective until terminated. Your rights under this license will terminate automatically if you fail to comply with any of these terms. Upon termination, you must cease all use of the App and destroy any copies in your possession. Your encrypted data remains on your device and is not affected by license termination.

13. Changes to These Terms

We may update these terms from time to time. Updated terms will be posted on this page with a revised effective date. Continued use of the App after changes are posted constitutes acceptance of the updated terms.

14. Governing Law

These terms are governed by the laws of Finland. Any disputes shall be resolved in the courts of Helsinki, Finland, unless mandatory consumer protection laws in your jurisdiction provide otherwise.
